Terms of Service

These Terms of Service ("Terms") govern your use of sherwood.app, kavrn.app, grizzl.app, and any related services (collectively, the "Platform") operated by Sherwood ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Accounts

You must sign in via a supported authentication provider (e.g., Google) to access certain features. You are responsible for maintaining the security of your account and for all activity under it. You must be at least 13 years old to use the Platform. By creating an account, you represent that the information you provide is accurate and complete.

2. Platform Credits

The Platform uses a virtual credit system ("Credits"). Credits can be purchased through the Platform via Stripe and are used to access features within apps in the Sherwood ecosystem. Credits are non-refundable, non-transferable, and have no cash value outside the Platform. We reserve the right to modify credit pricing at any time. Unused credits do not expire.

3. App Submissions

Users may submit applications ("Apps") to the Platform directory. By submitting an App, you represent that you have the right to list it, that it does not infringe on any third-party intellectual property rights, and that it does not contain malicious code, misleading content, or illegal material. We reserve the right to remove any App at our sole discretion without notice.

4. Creator Revenue Share Program

Creators whose Apps consume Platform Credits may be eligible for revenue share payments under the following terms:

Revenue Split: Eligible creators receive 85% of the net revenue generated from Credits spent on their Apps. Net revenue is defined as the gross purchase price minus third-party payment processing fees (e.g., Stripe transaction fees). The Platform retains 15% of net revenue as a service fee to cover infrastructure, support, and platform maintenance.

Payout Method: All payouts are processed via Stripe Connect. To receive earnings, creators must have an active Stripe account connected to the Platform. If you do not have a Stripe account, you will be prompted to create one when you become eligible for payouts. The Platform is not responsible for issues arising from incomplete or unverified Stripe accounts.

Minimum Payout: Payouts are only processed when a creator's accrued earnings reach a minimum of $100.00 USD. Earnings below this threshold will accumulate until the minimum is met.

Payout Schedule: Payouts are processed monthly for eligible balances, subject to verification. We reserve the right to withhold or delay payouts if we suspect fraud, abuse, or violation of these Terms.

Payout Fees: Any bank transfer fees, currency conversion fees, or cross-border transfer fees incurred when processing payouts to creators will be deducted from the creator's payout amount. The Platform is not responsible for absorbing these fees. For clarity, Stripe transaction fees on credit purchases are already deducted before the 85% creator share is calculated (see Revenue Split above).

Independent Contractor Status: Creators participating in the revenue share program are independent contractors, not employees, agents, or partners of Sherwood. Nothing in these Terms creates an employment, agency, or partnership relationship.

Tax Obligations: Creators are solely responsible for reporting and paying all taxes on income received through the revenue share program, including but not limited to income tax, GST/VAT, and any other applicable taxes in their jurisdiction. The Platform does not withhold taxes on behalf of creators. By participating in the program, you acknowledge and accept full responsibility for your tax obligations. We may request tax identification information (e.g., ABN, TFN, W-9) before processing payouts, as required by applicable law.

Modifications: We reserve the right to modify the revenue share percentage, payout thresholds, and program terms at any time with 30 days notice to active participants.

5. Prohibited Conduct

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable laws. Attempt to manipulate credit balances, revenue share calculations, or payout amounts. Submit fraudulent, misleading, or spam App listings. Interfere with the Platform's infrastructure or security. Impersonate another user or entity. Use automated systems to generate artificial credit usage or inflate earnings. Reverse-engineer, decompile, or attempt to extract the source code of the Platform.

6. Intellectual Property

The Platform, including its design, branding, code, and content (excluding user-submitted Apps), is the property of Sherwood and is protected by applicable intellectual property laws. You retain ownership of any Apps you submit, but grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your App on the Platform.

7. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure. We do not endorse, verify, or guarantee any third-party Apps listed on the Platform.

8. Limitation of Liability

To the maximum extent permitted by law, Sherwood and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the Platform, any Apps accessed through it, or the revenue share program. Our total liability for any claim shall not exceed the amount you have paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Sherwood, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your App submissions, or your participation in the revenue share program.

10. Account Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, any pending revenue share earnings below the minimum payout threshold will be forfeited. Credits in your account at the time of termination are non-refundable.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

12. Beta Program

The Platform is currently in a closed beta period. During this beta phase, access is available by invitation only through single-use invite codes. The Platform is provided on an "as-is" basis, and features, pricing, credit values, and functionality may change at any time without prior notice.

Beta access does not guarantee continued access to the Platform. We reserve the right to revoke access, modify beta terms, or end the beta program at any time. No warranties are made regarding the availability, reliability, or completeness of the Platform during the beta period. Invite codes are non-transferable except as intended (i.e., sharing with others to grant them access).

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Australia.
